Daniel Hammond Senior Solicitor

Daniel is a Senior Solicitor in our Corporate Department.
 
Corporate M&A & Transactional
With over 13 years of experience, Daniel advises a wide range of clients from sole traders to large limited companies.  In addition to being involved in transactional work such as business and share purchases and sales, management buy-outs and share buy-backs, Daniel is also experienced in assisting clients with business law advice in areas including shareholders' and partnership agreements, new company start-ups, company restorations reductions of share capital and partnership dissolution and retirement.

With in depth experience in dealing with share and business purchases, Daniel also deals with associated due diligence exercises involving the coordination of multiple sites/jurisidictions, data rooms and the electronic distribution of disclosed documentation.

Joint Ventures
Advice on joint venture arrangements, including shareholder and joint venture agreements, is another of Daniel's areas of experience.
 
Healthcare
Having acted for a broad spectrum of organisations engaged in the healthcare and medical sector Daniel has advised  in relation to GP and dental matters and for sellers and purchasers in relation to transactions involving residential and domiciliary care providers, retail pharmacies and wholesale medical suppliers.
 
Charities and not for profit organisations
As a key member of our team advising charities and not for profit organisations, Daniel's experience includes advising client organisations on obtaining registered charity status; incorporating companies limited by guarantee and related transfers of undertaking; winding up and dissolution - often following a transfer of property and/or undertaking to another similar charity; preparing amended and revised governing documentation and other day to day matters such as conduct at trustee meetings and advice on subsidiary trading.

Daniel has written for Third Sector, the leading publication for the charity and not for profit sector.
 
Notarial Services - Personal
In his role as a Notary Public, Daniel provides services to individuals including witnessing and certifying documents for use overseas.  Daniel routinely deals with powers of attorney including those relating to property sales; sponsorship letters for visiting overseas family members; and preparing packs of copy certificates and other documents required for working visas. 
 
Sport
With experience of advising unincorporated sports clubs changing their status to companies limited by guarantee, Daniel works closely with the firm's Real Estate Department in relation to land transfers and consideration of wider issues such as Stamp Duty Land Tax, Community Amateur Sports Club (CASC) status and contract assignments and novations.

Daniel has also advised rugby, football, golf and other sports organisations operating through limited companies in relation to a variety of corporate issues including membership rights, consolidation of shareholdings and drafting bespoke articles of association complying with the requirements of that sport's governing professional body.
 
Notarial Services - Business
Daniel is a qualified Notary Public and provides notarial services to businesses, companies and individuals for their business requirements.  Businesses may require documents notorising in respect of setting up overseas branch offices or subsidiary companies; dealing with imports and exports; obtaining working visas for personnel.
 
Charities
Daniel has experience of assisting clients with the formation of companies to be operated as charities and dealing with the registration of such companies at the Charity Commission.
 
Public Sector
Acting for clients in the public sector, Daniel has provided advice in relation to corporate matters such as company formation and incorporation.
